1. Agreement to Terms

By downloading, installing, or using Lupply (“the App”), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you do not have permission to access the service.

2. License to Use

2.1 Grant of License

We grant you a limited, non-exclusive, non-transferable license to:

• Download and install the App on authorized devices
• Access and use the App's features for your business purposes
• Store, process, and display data within the App

2.2 License Restrictions

You may not:

• Modify, reverse engineer, or decompile the App
• Create derivative works based on the App
• Remove or alter any copyright notices
• Use the App for illegal purposes
• Transfer your license to another party

3. Account Terms

3.1 Registration Requirements

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must be at least 18 years old to use the service

3.2 Account Security

• Keep your login credentials confidential
• Notify us immediately of any unauthorized access
• You are responsible for all activities under your account

4. Payment Terms

4.1 Fees and Settlements

• Fees are non-refundable unless required by law
• We may modify pricing with 30 days notice
• Delivery fees are calculated based on distance and service

4.2 Payment Processing

• Payments are processed through authorized third-party providers
• You agree to provide valid payment information
• We do not store full credit card details on our servers

5. Lupply Wallet

5.1 General Use

The Lupply Wallet is a stored-value feature that allows you to fund your account for the sole purpose of purchasing physical goods (such as food and groceries) through our platform.

5.2 Funding and Top-ups

• You can fund your wallet via bank transfer to a unique Virtual Account or through authorized payment gateways
• Wallet balances are non-transferable and can only be used within the App
• Maximum balance limits may apply in accordance with local regulations

5.3 Security and PIN

Users must set up a secure 4-digit PIN for wallet transactions. You are solely responsible for maintaining the confidentiality of your PIN. Lupply is not liable for unauthorized transactions resulting from a compromised PIN.

5.4 Refunds and Withdrawals

• Wallet balances are generally non-refundable unless a service failure occurs
• Requests for withdrawals are subject to administrative review and may incur processing fees
• Refunds for unsuccessful orders paid via wallet will be credited back to your wallet balance

6. User Content

5.1 Your Data

• You retain ownership of your business data
• You grant us license to host and process your data
• You are responsible for data backup

5.2 Prohibited Content

You may not upload or process:

• Illegal content
• Malicious software
• Infringing materials
• Unauthorized personal data

7. Service Availability

7.1 Uptime Commitment

• We strive for 99.9% uptime
• Scheduled maintenance will be announced
• We are not liable for internet or device issues

6.2 Service Modifications

We reserve the right to:

• Modify or discontinue features
• Update the App for compatibility
• Require version updates

8. Limitation of Liability

8.1 Warranty Disclaimer

The App is provided “as is” without warranties of any kind.

7.2 Liability Limits

• We are not liable for indirect damages
• Our liability is limited to fees paid
• Force majeure events are excluded

9. Termination
